These terms govern your use of usmedicaldirectors.com and describe important conditions relating to US Medical Directors’ website and services.
These Terms and Conditions govern your access to and use of usmedicaldirectors.com and any related pages, forms, calculators, and content we make available (together, the “Site”). Please read them carefully before using the Site.
1 Acceptance of terms
By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site. If you are using the Site on behalf of a practice, company, or other organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.
2 About our services
US Medical Directors (“USMD,” “we,” “us,” or “our”) provides physician-led medical oversight, medical director services, compliance documentation, and related support to aesthetic, wellness, and other healthcare practices. The Site describes those services, provides educational content, and allows prospective clients to request information or schedule a consultation.
Descriptions of services, pricing, and program features on the Site are for general information only. The specific services we provide to any client, and the terms on which we provide them, are set out in a separate written agreement as described in Section 5.
3 No medical advice
Content on the Site is provided for general educational and informational purposes. It is not medical advice, legal advice, or a substitute for the independent judgment of a licensed professional.
Using the Site, submitting a form, or communicating with us through the Site does not create a physician-patient relationship, an attorney-client relationship, or a medical director relationship. Medical oversight and supervision services are provided only under a signed agreement and only within the scope defined in that agreement. Nothing on the Site should be relied upon to make clinical, regulatory, or business decisions without consulting appropriately qualified professionals.
4 Eligibility and business use
The Site and our services are intended for practice owners, licensed healthcare providers, and business professionals. You must be at least 18 years old to use the Site. Our services are offered to businesses and professionals, not to individual patients, and we do not provide patient care through the Site.
5 Service agreements
Medical director services, management services, purchasing programs, and any other services we provide are governed by a written agreement between USMD and the client (for example, a Medical Director Services Agreement or Management Services Agreement). If there is any conflict between these Terms and a signed agreement, the signed agreement controls with respect to the services it covers.
Fees, scope of oversight, state-specific requirements, and termination rights are defined in the applicable agreement, not on the Site.
6 Accounts and security
Some parts of the Site, or client portals we link to, may require you to create an account. You agree to provide accurate and complete information, to keep your login credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your credentials.
7 Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
- Submit false, misleading, or fraudulent information through any form on the Site.
- Upload or transmit protected health information through the Site unless we have expressly provided a secure channel for that purpose.
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems.
- Scrape, copy, or republish Site content for commercial purposes without our written permission.
- Interfere with the operation of the Site or introduce malicious code.
We may suspend or terminate your access to the Site at any time if we believe you have violated these Terms.
8 Intellectual property
The Site and all of its content, including text, graphics, logos, protocols, templates, calculators, and the “US Medical Directors” name and marks, are owned by USMD or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view and print Site content for your own internal, non-commercial evaluation of our services. Any other use requires our prior written consent.
9 Third-party links and tools
The Site may contain links to third-party websites, scheduling tools, or payment processors. We do not control and are not responsible for the content, privacy practices, or availability of those third-party services. Your use of them is governed by their own terms.
10 Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.
11 SMS / text messaging terms of service
US Medical Directors (USMD) offers an SMS text messaging program for practice owners and healthcare professionals who opt in through our website forms, consultation booking, or by texting a keyword to our number. When you opt in, you can expect to receive messages such as appointment and consultation reminders, responses to your inquiries, onboarding and compliance updates for your practice, state regulatory alerts, and, only if you have separately consented to marketing messages, information about USMD programs, pricing, and offers.
You can cancel the SMS service at any time. Just text “STOP” to [USMD SMS PHONE NUMBER]. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at support@usmedicaldirectors.com or [USMD TOLL-FREE NUMBER].
Carriers are not liable for delayed or undelivered messages.
As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Consent to receive text messages is not a condition of purchasing any USMD service. Marketing text messages are sent only to individuals who have separately and expressly opted in to marketing communications. Mobile opt-in information is never shared with third parties or affiliates for their marketing or promotional purposes.
12 Disclaimers
The Site and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any content is accurate, complete, or current.
Regulatory requirements for medical practices vary by state and change over time. Educational content on the Site reflects our general understanding at the time of publication and should not be treated as a compliance opinion for any specific practice.
13 Limitation of liability
To the fullest extent permitted by law, USMD and its officers, physicians, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site, even if advised of the possibility of such damages. Our total liability for any claim arising out of your use of the Site will not exceed one hundred U.S. dollars ($100).
Liability relating to services provided under a signed agreement is governed by that agreement. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14 Indemnification
You agree to defend, indemnify, and hold harmless USMD and its officers, physicians, employees, contractors, and affiliates from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
15 Governing law and disputes
These Terms are governed by the laws of the State of Oregon, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to the personal jurisdiction of those courts. Disputes relating to services provided under a signed agreement are governed by the dispute resolution terms of that agreement.
16 Changes to these terms
We may update these Terms from time to time. The effective date at the top of this page indicates when the current version took effect. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
